Terms of Service

Effective Date: April 11, 2026

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Aeroyantra Technologies Private Limited ("Aeroyantra," "we," "our," or "us"), a company incorporated under the Companies Act, 2013, with its registered office at E-49/5, First Floor, Okhla Industrial Area Phase-2, New Delhi, India 110020.

By accessing or using our website (www.aeroyantra.com), cloud platform (app.aeroyantra.com), or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

1. Definitions

  • "Services" means the Aeroyantra cloud-based drone mapping, photogrammetry processing, LiDAR processing, and related software platform, tools, APIs, and support services
  • "User Data" means all data, images, files, and content uploaded, submitted, or generated by you through the Services, including drone imagery, survey data, and processed outputs
  • "Aero Credits" means the unit of measurement for processing capacity, where 1 Credit equals 1 Gigapixel of photogrammetry processing
  • "Account" means your registered user account on the Aeroyantra platform
  • "Subscription" or "Plan" means the service tier you have selected (Pay-Per-Use, Professional, or Enterprise)

2. Eligibility & Account Registration

2.1 You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our Services.

2.2 You must provide accurate, current, and complete information during registration and keep your account information updated.

2.3 You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.4 You must notify us immediately at contact@aeroyantra.com if you suspect unauthorized access to your account.

2.5 Accounts are non-transferable without our prior written consent.

2.6 We reserve the right to suspend or terminate accounts that contain false or misleading registration information.

3. Services & Service Plans

3.1 Services are provided according to your selected plan. Available plans include Pay-Per-Use, Professional, and Enterprise tiers, each with varying features, processing limits, and storage allocations.

3.2 Pay-Per-Use plans are billed based on Aero Credits consumed. Processing costs are calculated based on the total gigapixel count of uploaded imagery.

3.3 Professional plans include a monthly allocation of Aero Credits with the option to purchase additional credits as needed.

3.4 Enterprise plans require custom agreements with negotiated pricing, dedicated support, and extended features.

3.5 We reserve the right to modify plan features, pricing, and availability with 30 days' prior notice. Existing subscriptions will be honored for their current billing period.

3.6 Free trial periods, if offered, are subject to separate terms and may have limited functionality.

4. Payments, Billing & Taxes

4.1 All payments are processed securely through our payment gateway partners (Razorpay and PayPal). By making a payment, you also agree to the respective payment processor's terms of service.

4.2 Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. Pay-Per-Use charges are billed upon consumption.

4.3 All prices are listed in Indian Rupees (INR) unless otherwise specified. Prices are exclusive of applicable taxes (GST) unless explicitly stated.

4.4 You are responsible for providing accurate billing information, including valid payment methods and GST/tax identification numbers where applicable.

4.5 Failed payment attempts may result in service suspension. We will notify you of payment failures and provide a grace period of 7 days before suspending access.

4.6 Invoices and payment receipts will be sent to your registered email address and are available in your account dashboard.

5. Refund & Cancellation Policy

5.1 Subscription Cancellation: You may cancel your subscription at any time from your account dashboard. Upon cancellation, your subscription will remain active until the end of the current billing period, after which it will not renew.

5.2 Refund for Subscriptions: Subscription fees are generally non-refundable. However, if you cancel within 7 days of a new subscription or renewal and have not used any processing credits during that period, you may request a full refund by contacting billing@aeroyantra.com.

5.3 Refund for Pay-Per-Use Credits: Purchased Aero Credits are non-refundable once consumed. Unused credits in your account may be refunded on a case-by-case basis within 30 days of purchase.

5.4 Processing Failures: If a data processing job fails due to a platform error (not due to invalid or insufficient input data), the consumed credits will be restored to your account.

5.5 Refund Process: Approved refunds will be processed within 7-10 business days and credited back to the original payment method.

5.6 Disputes: For billing disputes, contact us at billing@aeroyantra.com within 30 days of the charge. We will investigate and resolve disputes within 15 business days.

6. Data Ownership & Intellectual Property

6.1 Your Data: You retain all rights, title, and interest in your User Data. Aeroyantra does not claim any ownership over your uploaded data or processed outputs.

6.2 License to Process: You grant Aeroyantra a limited, non-exclusive, royalty-free license to access, store, and process your User Data solely for the purpose of providing the Services to you.

6.3 Our Intellectual Property: The Aeroyantra platform, including its software, algorithms, AI/ML models, user interface, documentation, branding, and all related intellectual property, remains the exclusive property of Aeroyantra Technologies Private Limited.

6.4 Feedback: Any feedback, suggestions, or ideas you provide regarding the Services may be used by Aeroyantra without restriction or obligation.

6.5 Aggregated Data: We may use anonymized, aggregated data derived from your usage for improving our Services, training models, and generating industry insights, provided such data cannot identify you or your organization.

7. Acceptable Use Policy

You agree not to use the Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload or process data you do not have the legal right to use
  • Upload malicious software, viruses, or corrupted data
  • Attempt to reverse engineer, decompile, or disassemble any part of the platform
  • Access or attempt to access other users' accounts or data without authorization
  • Use automated scripts, bots, or scraping tools against the platform
  • Resell, sublicense, or redistribute the Services without written authorization
  • Interfere with or disrupt the platform infrastructure or security mechanisms
  • Use the Services for illegal surveillance or activities that violate drone regulations (DGCA rules in India)
  • Share accounts or credentials without proper authorization through our organization features
  • Send unsolicited communications through any platform features

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

8. Service Availability & Limitations

8.1 We strive to maintain 99.9% platform uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance.

8.2 Processing results depend on the quality and completeness of input data, including image overlap, resolution, GPS accuracy, and environmental conditions during capture.

8.3 Processing times vary based on data volume, complexity, selected processing parameters, and current platform load.

8.4 We may impose reasonable usage limits to ensure fair access for all users, particularly on shared infrastructure.

8.5 Features and functionality may differ between service plans. Not all features are available on all plans.

9. Data Processing & Storage

9.1 Your data is processed and stored on secure, industry-certified cloud infrastructure.

9.2 Default data retention is 2 months after processing completion for Basic/Professional plans. Enterprise plans may have custom retention periods.

9.3 You are responsible for downloading and maintaining your own backups of processed outputs before the retention period expires.

9.4 We will provide at least 14 days' notice before deleting data due to retention policy expiry.

9.5 Deleted data cannot be recovered. We strongly recommend maintaining local copies of important outputs.

10. Account Termination

10.1 Termination by You: You may terminate your account at any time by contacting us at contact@aeroyantra.com or through your account settings. Active subscriptions will continue until the end of the current billing period.

10.2 Termination by Us: We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or violate our Acceptable Use Policy.

10.3 Data Export: Upon termination, you may request export of your data within 30 days. After 30 days, we reserve the right to permanently delete all associated data.

10.4 Survival: Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.

11. Limitation of Liability

11.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AEROYANTRA'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11.2 IN NO EVENT SHALL AEROYANTRA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.

11.3 Aeroyantra is not liable for any loss or damage resulting from inaccurate or incomplete input data, incorrect survey methodology, or non-compliance with drone operating regulations.

11.4 The outputs generated by our platform are intended for professional reference and should be validated by qualified professionals before use in critical applications.

12. Indemnification

You agree to indemnify, defend, and hold harmless Aeroyantra, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable laws or third-party rights; or (d) any data or content you upload or process through the Services.

13. Dispute Resolution

13.1 Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties for a period of 30 days.

13.2 If the dispute cannot be resolved through negotiation, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in New Delhi, India, by a sole arbitrator mutually appointed by the parties.

13.3 The language of arbitration shall be English.

14. Governing Law & Jurisdiction

14.1 These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

14.2 Subject to the arbitration clause above, the courts of New Delhi, India shall have exclusive jurisdiction over any disputes.

15. Force Majeure

Aeroyantra shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, wars, terrorism, pandemics, government actions, power outages, internet failures, or cloud infrastructure outages.

16. Modifications to Terms

16.1 We may modify these Terms at any time by posting the revised Terms on our website with an updated "Effective Date."

16.2 For material changes, we will provide at least 30 days' notice via email to your registered email address.

16.3 Your continued use of the Services after the effective date of modified Terms constitutes your acceptance of the changes.

16.4 If you do not agree with the modified Terms, you must discontinue use of the Services before the changes take effect.

17. General Provisions

17.1 Entire Agreement: These Terms, together with our Privacy Policy and any applicable plan-specific terms, constitute the entire agreement between you and Aeroyantra.

17.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver: The failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

17.5 Notices: All notices under these Terms shall be sent via email to your registered email address or to legal@aeroyantra.com for notices to Aeroyantra.
